Job Description
This Associate Manager - Legal position requires a highly motivated and experienced individual with a strong background in global corporate law and compliance. The candidate will be responsible for providing legal advice and support on cross-border transactions, ensuring compliance with international regulations, managing legal teams, and building relationships with clients worldwide. A Bachelor of Law (LL.B) degree, Company Secretary (CS) qualification, and 3-5 years of relevant experience are essential. The ideal candidate will have a passion for financial services and a global perspective, with a strong understanding of corporate law, securities law, and contract law.
Contracting and advisory:
- Contract Negotiation: Negotiate and draft
complex legal agreements, including merger and acquisition agreements, joint
venture agreements, and shareholder agreements.
- Legal Advisory: Provide strategic legal
advice and counsel to clients on a wide range of financial transactions and
corporate matters.
- Compliance: Ensure compliance with
applicable laws and regulations, including securities laws, corporate
governance standards, and data privacy regulations.
- Due Diligence: Conduct thorough due
diligence investigations to identify potential legal risks and liabilities.
- Litigation Support: Assist with litigation
matters, including gathering evidence, preparing legal briefs, and supporting
the legal team in court proceedings.
- Team Management: Lead and mentor junior
legal professionals, providing guidance and support in their professional
development.
Global Corporate Legal Knowledge and
Compliance
- Cross-border Transactions: Provide legal
advice and support for complex cross-border transactions, including mergers and
acquisitions, joint ventures, and foreign direct investments.
- International Regulatory Compliance: Ensure
compliance with applicable international regulations and laws, such as the
Foreign Corrupt Practices Act (FCPA), UK Bribery Act, and EU General Data
Protection Regulation (GDPR).
- Global Corporate Governance: Advise on
global corporate governance best practices and assist in implementing corporate
governance frameworks.
- Foreign Investment Laws: Stay abreast of
foreign investment laws and regulations in key jurisdictions and provide
guidance on compliance requirements.
Corporate Compliances and Filings
- Corporate Secretarial Services: Manage
corporate secretarial functions, including board meetings, shareholder
meetings, and statutory filings.
- Regulatory Filings: Prepare and submit
regulatory filings, such as annual reports, financial statements, and tax
returns, in accordance with local and international standards.
- Due Diligence: Conduct comprehensive due
diligence investigations to identify potential legal risks and liabilities in
cross-border transactions.
Handling Staff and Clients Worldwide
- Team Management: Lead and mentor junior
legal professionals, providing guidance and support in their professional
development.
- Client Relationship Management: Develop and
maintain strong relationships with clients located worldwide, providing timely
and effective legal advice.
- Cross-Cultural Communication: Effectively
communicate with clients and colleagues from diverse cultural backgrounds,
demonstrating cultural sensitivity and understanding.
- Remote Work Coordination: Manage and
coordinate legal teams working remotely in different time zones and locations.
Requirements
Academic/ professional qualifications:
- Bachelor of Law (LL.B) degree from reputed university preferably CLAT colleges
- Company Secretary (CS) qualification
- 3-5 years of experience in a legal role, preferably in a corporate law firm or financial services industry
- Strong understanding of Indian corporate law, securities law, and contract law
- Experience in handling cross-border transactions and international regulatory compliance
- Excellent research, analytical, and problem-solving skills
- Strong written and verbal communication skills in English
- Ability to work independently and as part of a team
- Strong attention to detail and organizational skills
- Proficiency in French (preferred)
Additional qualifications:
- Experience in specific areas of law, e.g., mergers and acquisitions, corporate restructuring, private equity etc.
- Membership in professional legal organizations
